24th March 2016 | Share buybacks need good reasons

BBC News

PIRC’s Head of Governance and Financial Analysis, Tim Bush, was featured on BBC News discussing share buybacks. Speaking to the BBC, Mr Bush said:

"It's the ultimate of what is described as financial engineering where the company is seen as a financial instrument rather than a thing which shareholders own and should be creating value from what it’s doing.

"There are a lot of conflicts of interest - lawyers make money out of buybacks, investment bankers make money out of buybacks because they take commissions and the government has its little take. There's an awful lot of people who have a vested interest in buybacks occurring as well as management with pay incentives."

PIRC’s revised position on share buybacks come from the updated corporate governance guidelines that PIRC published in March 2016 – for more information on this click here.

14th April 2016 | PIRC opposes BP chief executive’s 20% pay hike

FinancialDirector

Speaking to the BBC Radio 4 Today programme on the morning of the 14th April 2016, PIRC’s Head of Governance and Financial Analysis said that the way in which executives are recruited and paid is ‘broken’. Mr Bush was speaking ahead of BP’s AGM, at which shareholders voted on the pay packet of Bob Dudley, the Chief Executive of BP.

15th April 2016 | WPP criticised by PIRC over executive pay

The Guardian

Talking about WPP’s executive remuneration package, PIRC’s Head of Governance and Financial Analysis, Tim Bush, said that “any remuneration committee chairman with a similar scheme to the one at BP is at risk of similar rejection. There are a lot of concerned people out there.”

Mr Bush was quoted in an article in the Guardian which looked at increasing activism and concern amongst shareholders regarding executive remuneration, something which increased after a similar vote took place at BP.

27th April 2016 | Barclays criticised for executive remuneration by PIRC

Daily Mirror

Tim Bush, Head of Governance and Financial Analysis at PIRC, has called Barclay’s executive remuneration policy “overly complicated and overly generous”. Speaking ahead of Barclay’s AGM, at which shareholder’s had a once-in-three-years vote on executive pay, Mr Bush criticised the large amount Jes Stanley, Barclays CEO, was to be paid, which was even more controversial in the context of the bank’s pre-tax profits falling by over 25%.

Mr Bush’s analysis was quoted by the Mirror. The full article can be found here.
